All monies. Debenture. The company as beneficial owner thereby charged in favour of the bank all its undertaking, property and assets whatso- ever and wheresoever both present and future including goodwill and its uncalled capital for the time being with the payment of all monies thereby secure including interest as aforesaid. The charge thereby created shall as regards all estate or interest legal or equitable in all freehold or leasehold property, all profits a prendre, ease- ments, rights of way, rights under covenant, agreements, undertakings and indemnities and rights to compensation statutory or otherwise, attaching there- to which shall at any time thereafter during the continuance of this security become the property of the company, and uncalled capital for the time being be a specific charge and shall as regards the other property thereby charged be a floating security but so that the company shall not be at liberty to create any mortgage or charge ranking in priority to or pari passu with these presents.
